These Terms and Conditions govern your use of the Shivalay website and any trade or wholesale transactions carried out with Shivalay ("we", "us", "our"). By placing an order or opening a trade account with us, you agree to be bound by these terms.
Shivalay is a wholesale supplier operating on a trade-only basis. To purchase from us you must be a registered business — including sole traders, limited companies, retailers, resellers, and market traders. We reserve the right to request proof of trading status before processing any order.
All orders are subject to availability and acceptance by Shivalay. We reserve the right to decline or cancel any order at our discretion. An order is only confirmed once you have received written confirmation from us (email is acceptable).
Minimum order quantities (MOQs) apply and vary by product. These will be confirmed at the time of quotation.
All prices quoted are exclusive of VAT unless otherwise stated. Prices are subject to change without notice. The price applicable to your order will be that confirmed in writing at the time of order acceptance.
Volume discounts are available and applied at our discretion based on order size and trading history.
Payment is due in accordance with the terms agreed at the time of your trade account setup. Standard terms are payment in full prior to despatch unless credit terms have been agreed in writing. We accept bank transfer (BACS) and card payment. Late payments may incur interest and we reserve the right to suspend accounts with outstanding balances.
We aim to despatch orders within 1–2 business days of payment confirmation. Delivery timescales are estimates only and we are not liable for delays caused by couriers or circumstances outside our control. Risk in goods passes to you upon delivery. You must inspect goods promptly upon receipt and notify us of any discrepancies or damage within 48 hours.
Orders may not be cancelled once confirmed without our written agreement. Returns of undamaged stock are not accepted unless agreed in advance. Damaged or defective goods must be reported within 48 hours of delivery with photographic evidence. Where a valid claim is accepted, we will arrange a replacement or issue a credit note at our discretion.
All content on this website including text, images, logos and design is the property of Shivalay and may not be copied, reproduced or used without our prior written consent.
To the fullest extent permitted by law, Shivalay shall not be liable for any indirect, consequential, or special loss arising from your use of our products or services. Our total liability to you shall not exceed the value of the order in question.
These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We reserve the right to update these Terms and Conditions at any time. The current version will always be available on this page. Continued trading with us following any changes constitutes your acceptance of the updated terms.
